Terms of Service

1. Acceptance of Terms

By accessing or using Ardyn ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Ardyn provides AI-powered design tools for event professionals, including image generation, color tools, layout builders, and other creative features. The Service is provided on a subscription and credit-based model. Features and capabilities may vary by subscription tier.

3. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must have the legal capacity to enter into a binding contract in your jurisdiction.
  • The Service is not available to users who have been previously suspended or removed.
  • By creating an account, you represent that all information you provide is accurate and complete.

4. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • One person or legal entity may not maintain more than one account.
  • You must notify Ardyn immediately at legal@ardyn.co if you suspect unauthorized access to your account.
  • You may not share account credentials or otherwise enable another person to access the Service using your account.

5. Team Accounts

Certain subscription tiers include team features that allow multiple users to collaborate within a shared workspace. If you are a team owner or administrator:

  • You are responsible for ensuring that team members comply with these Terms.
  • You control team members' access levels and are responsible for revoking access when appropriate (e.g., when an employee leaves your organization).
  • Ardyn is not liable for actions taken by team members under your account.
  • Shared credits and content belong to the team account, not individual members.
  • Removing a team member does not automatically delete their contributions to team projects.

6. Acceptable Use

You agree not to use the Service to:

  • Generate illegal, harmful, hateful, or sexually explicit content.
  • Create deepfakes or deceptive media intended to mislead, defame, or harass any person.
  • Infringe on the intellectual property rights of others.
  • Impersonate any person or entity.
  • Attempt to reverse-engineer, extract, or replicate Ardyn's AI models or proprietary systems.
  • Develop, market, support, or evaluate any product or service that competes with the Service, or conduct competitive analysis, benchmarking, or feature evaluation for the benefit of a competing product or service.
  • Access the Service through automated means (scripts, bots, scrapers) without Ardyn's prior written consent.
  • Resell, sublicense, or provide access to the Service to third parties without authorization.
  • Interfere with or disrupt the Service or its infrastructure.
  • Circumvent any technical measures Ardyn uses to enforce these Terms or protect its systems.

Ardyn reserves the right to investigate suspected violations and, where appropriate, suspend or terminate accounts without prior notice.

7. AI-Generated Content

Content generated using Ardyn's tools is created with the assistance of artificial intelligence. You understand and agree that:

  • AI-generated content may produce unexpected, imperfect, or inconsistent results; you are responsible for reviewing all output before use.
  • You are responsible for ensuring that your use of AI-generated content complies with applicable laws and does not infringe third-party rights.
  • Generated images may contain invisible digital watermarks for content provenance tracking, in compliance with applicable regulations.
  • Your prompts and uploaded images are not used to train AI models.
  • You grant Ardyn a limited, non-exclusive license to access and process generated content solely to operate, maintain, and improve the Service, including identifying output quality issues and system performance. This license does not permit use of your content to train AI models.

8. Ownership & Intellectual Property

Content You Upload

You retain all ownership rights in content you upload to the Service. By uploading content, you grant Ardyn a limited license to store, process, and display that content solely to operate and provide the Service to you.

AI-Generated Content

Subject to your compliance with these Terms and your active subscription, Ardyn grants you a license to use AI-generated content for commercial purposes consistent with your subscription tier. The specific scope of this license (e.g., exclusivity, attribution requirements) is described in your plan details. Ardyn does not claim ownership of AI-generated content you create using the Service.

Ardyn's Intellectual Property

Field Theory Studio LLC dba Ardyn retains all rights, title, and interest in and to the Service, including all software, technology, interfaces, designs, trademarks, and underlying models. Nothing in these Terms grants you any rights in or to Ardyn's intellectual property other than the limited right to use the Service as described herein. No rights are granted to you in or to any underlying models, algorithms, or systems used to generate content. You may not use the Service, any outputs, or any information obtained through use of the Service to develop, train, improve, design, market, or strategize for any competing product, service, artificial intelligence model, or machine learning model.

9. Credits, Subscriptions & Payments

  • Credits are consumed when using AI generation features; the credit cost of each action is displayed in the Service.
  • Subscription credits reset at the end of each billing period and do not roll over to the next billing period. For monthly plans, this means credits reset monthly. For annual plans, credits are allotted monthly within the billing period and remain available through the end of the annual term, resetting at the anniversary date.
  • You may upgrade your subscription tier at any time. You will be charged a prorated amount for the difference between your current and new tier for the remainder of the billing period, and the new tier's credit allotment is added to your existing credit balance.
  • You may downgrade your subscription tier at any time. Your existing credit balance is preserved through the end of your current billing period, after which credits reset to the allotment of the new tier.
  • Purchased top-up credits expire 90 days from the date of purchase and are non-transferable.
  • All purchases are final and non-refundable, except as expressly required by applicable law.
  • If a payment fails, Ardyn may suspend access to the Service until payment is resolved.
  • Ardyn reserves the right to modify pricing at any time with at least 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
  • Subscription renewals are charged automatically at the start of each billing period. You may cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing period.
  • Ardyn reserves the right to suspend or limit access to the Service immediately upon any payment failure or suspected abuse of the credit system.

10. Referral Program

Ardyn offers a referral program that allows you to earn credits by inviting new users to the Service. By participating, you agree to the following:

  • Each eligible account (an account with an active paid subscription) is issued a unique referral code and link. You are responsible for how your code is shared and for ensuring that all promotion of your code complies with applicable laws, including anti-spam and advertising regulations.
  • Referral credits are awarded only when a referred user creates a new account and converts to a paid subscription. Both the referrer and the referred user receive 25 credits, deposited into the team's shared credit balance.
  • Referral credits do not expire, but they remain subject to these Terms and may be forfeited upon account termination or closure.
  • Self-referrals, referrals between members of the same team or organization, referrals to existing or previously paid accounts, and referrals generated through fraudulent, deceptive, or automated means are prohibited and will not earn credits.
  • Ardyn reserves the right to investigate suspected abuse of the referral program and to withhold, void, or revoke credits, suspend referral codes, and suspend or terminate accounts found to be in violation.
  • Referral credits have no cash value, are non-transferable, and may not be sold, exchanged, or redeemed for cash.
  • Ardyn reserves the right to modify, suspend, or terminate the referral program, or to change its terms (including credit amounts and eligibility), at any time with at least 30 days' notice. Credits already earned at the time of any change will be honored.

11. Service Availability

Ardyn strives to provide a reliable service but does not guarantee uninterrupted or error-free availability. The Service may be temporarily unavailable due to scheduled maintenance, unexpected outages, or circumstances beyond Ardyn's control. Ardyn is not liable for any loss or inconvenience resulting from Service unavailability. Ardyn does not guarantee that any specific feature will remain available or unchanged over time. The Service is not intended for use in any situation where failure or delay could result in personal injury, property damage, or significant financial loss.

12. Copyright & DMCA

Ardyn respects intellectual property rights. If you believe that content accessible through the Service infringes your copyright, you may submit a notice to Ardyn's designated agent:

Your notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material and its location; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (6) your signature.

Ardyn may terminate accounts of repeat infringers.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARDYN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ARDYN DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS WILL BE CORRECTED. AI-GENERATED CONTENT IS PROVIDED WITHOUT WARRANTY OF ORIGINALITY, ACCURACY, OR FITNESS FOR ANY PURPOSE. THE SERVICE DOES NOT PROVIDE PROFESSIONAL, LEGAL, DESIGN, OR BUSINESS ADVICE, AND NO RELIANCE SHOULD BE PLACED ON OUTPUTS GENERATED BY THE SERVICE WITHOUT INDEPENDENT REVIEW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELD THEORY STUDIO LLC DBA ARDYN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ARDYN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ARDYN'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO ARDYN IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

15. Indemnification

You agree to indemnify, defend, and hold harmless Field Theory Studio LLC dba Ardyn and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any content you upload, generate, distribute, or rely upon using the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights. Ardyn reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Ardyn in asserting any available defenses.

16. Termination

Either party may terminate these Terms at any time:

  • You may delete your account at any time from Settings. Subscription access continues through the end of your paid billing period; credits are forfeited upon closure.
  • Ardyn may suspend or terminate your account immediately if you violate these Terms, if your payment is overdue, or if Ardyn is required to do so by law.
  • Upon termination, your right to access and use the Service ceases immediately.
  • Ardyn may retain your data for a reasonable period after termination as required by law or its standard retention policies, after which it will be deleted.

Sections 7 (AI-Generated Content — license grant), 8 (Ownership), 13 (Warranty Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 18 (Dispute Resolution), and 19 (Governing Law) survive termination.

17. Force Majeure

Ardyn will not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond Ardyn's reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, internet or telecommunications failures, or third-party service outages.

18. Dispute Resolution & Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution. Before initiating formal proceedings, you agree to contact Ardyn at legal@ardyn.co and give Ardyn 30 days to attempt to resolve the dispute informally.

Binding Arbitration. If the dispute cannot be resolved informally, you and Field Theory Studio LLC dba Ardyn agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court. Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, and shall take place in the State of Alabama, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You and Ardyn agree that each party may only bring claims against the other in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

Exceptions. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm while arbitration is pending. Nothing in this section prevents either party from filing a complaint with a relevant government agency.

19. Changes to Terms

Ardyn may modify these Terms at any time. Ardyn will provide at least 30 days' notice of material changes via email or in-app notification. The updated Terms will be identified by a new "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 18, you consent to the exclusive jurisdiction of the state and federal courts located in Alabama.

21. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Field Theory Studio LLC dba Ardyn with respect to the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Ardyn's failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or Ardyn's right to enforce it in the future.
  • Assignment: You may not assign or transfer these Terms or your rights hereunder without Ardyn's prior written consent. Ardyn may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Notices: Ardyn may provide notices to you via email or in-app notification. You may provide notices to Ardyn at legal@ardyn.co.
